Public Company
Public companies , generally referred to as “PLC” (Public Limited Companies) are structured in a similar way as the Private Company under the new Companies Act. They require a minimum of one shareholder as well as two directors and are the only legal entity that is allowed to borrow on the public market.
In this regard IBN Consulting offers the following services:
- Consultation on the appropriate legal form of company
- Structuring and set-up
- Drafting of documentation for company register (director change, address change etc)
- Monitoring of registration process with CIPC
- Name reservation and change of name
- Drafting and adaptation of Memorandum of Incorporation and shareholder agreement

If it is intended to list a PLC on the Johannesburg Stock Exchange (JSE), one has to bear in mind that the company needs a clean trading record and audited fainancials for at least three years.
