Company Law
After four years of preparation, deliberation and discussion South Africa finalised its new Company Law in April 2009. It was finally ratified and in May 2011 the Companies Act (Act No. 71 of 2008) it came into force.
Aim of the new law is it to provide South Africa with a more contemporary law that shall not be shy of the modern tendencies world-wide with regard to the structures of companies, which shall attract investor confidence and contribute to national economic growth. The new company law has finally abolished the Close Corporation and members of such companies have 10 years in order to transform their close corporation into one of the new company types available.
Those new company types are:
- Private Company (PTY)
- Public Company (PLC)
- Non-Profit Company (NPC)
- State-Owned Company (SOC)
